MJRD CHEM PRO TRADE STANDARD TERMS AND CONDITIONS

SALES POLICY FOR PRODUCTS

  • Wholesale Bulk Only

MJRD Chem Pro Trade sells its complete offering wholesale in bulk to business customers—end users and distributors.

1. DEFINITION

  • "We/Us/Supplier" – MJRD Chem Pro Trade and/or its appointed sellers/exporters.

  • "You/Customer" – The purchaser/buyer.

  • "Product/Material/Goods" – The chemical products and related materials to be purchased.

  • "These Conditions" – These terms and conditions.

  • "S/C" – Sales Contract or Sales Confirmation.

  • "L/C" – Letter of Credit.

  • "FOB" – Free on Board.

  • "CFR" – Cost and Freight.

  • "CIF" – Cost Insurance Freight.

2. PRICE AND CURRENCY

Unless otherwise specified in the relevant Sales Contract, all prices are net and exclusive of Value Added Tax or any similar tax, import customs duties/tariffs, etc., outside our country of operation. We accept payment in USD.

3. PRICE TERMS

Any price indications or price lists are subject to alteration according to the prevailing market conditions at the time of delivery. Market-sensitive products will be priced based on current market rates. Unless otherwise specified in the relevant S/C, all price terms follow the definitions and practice of INCOTERMS 2000. Any quotation provided by MJRD Chem Pro Trade is firm only if the corresponding order is placed within the specified period, or, if no time period is mentioned, within 7 days.

Price Changes

Shipments will be processed even if prices have been nominally increased. Price changes will be automatically applied to your invoice. If, at any time before delivery, the cost of materials has increased by 5% or more, MJRD Chem Pro Trade reserves the right to cancel any accepted but undelivered orders or condition the order on your agreement to a corresponding price increase.

Price Match Guarantee

We strive to offer competitive pricing on all our products. If you find a lower price from a competitor, we may match it, provided the following conditions are met:

  • The product is of the same quality and specification.

  • The product is available in stock at the competitor at the time of purchase.

  • The product is supplied by a manufacturer and not a trader or distributor.

  • The competitor’s shipping cost is included in the total price comparison in case of CIF.

  • Only formal quotations from competitors will be considered.

  • Price matches must be made at the time of purchase.

To request a price match, email our representatives with proof of the lower price (e.g., an official quotation).

4. ORDER APPROVAL

No order is binding until the customer receives an S/C or written acknowledgment from us. Any changes requested after the original order is confirmed are subject to our approval, and all prices and delivery terms will be adjusted accordingly.

5. PAYMENT

Unless otherwise agreed in writing, we only accept payment via T/T (Telegraphic Transfer) in advance and irrevocable, transferable, documentary Letter of Credit (L/C) at sight. Orders under USD 50,000 must be paid via T/T 15 days before shipment. We reserve the right to revoke credit if a customer fails to pay on time.

6. INSURANCE

As standard, we cover All Risks for insured goods only. If additional coverage is required, the extra premium must be paid by the buyer. The Insured Value is 110% of the full invoice value. If higher coverage is required, the additional premium will be charged to the buyer. We offer insurance coverage for FOB, CFR, or CIF shipments at a 0.5% premium.

7. REPRESENTATIONS AND FITNESS FOR PURPOSE

Unless explicitly agreed in writing, MJRD Chem Pro Trade provides no implied warranties regarding product suitability. Customers are responsible for ensuring the products meet their specific needs before purchasing.

8. PRODUCT QUALITY / QUANTITY AND DISCREPANCY CLAIM

Products are manufactured by third parties per specifications in the relevant order or S/C. The customer acknowledges that MJRD Chem Pro Trade is only a supplier and is responsible for verifying that the products meet their needs.

  • Quality discrepancy claims must be filed within 20 days of the product’s arrival at the destination port.

  • Quantity discrepancy claims must be filed within 15 days of arrival.

9. SHIPMENT / DELIVERY

All sales are FOB port unless otherwise stated. Shipping and handling charges, if quoted or invoiced, may include additional charges beyond freight costs. Once products are handed over to the carrier, risk of loss or damage transfers to the buyer.

While we endeavor to ship within the agreed timeline, we reserve the right to deliver in partial shipments unless otherwise stated. Orders cannot be canceled for delivery delays unless the customer provides 20 days' written notice, and all products shipped within that period must be accepted.

10. FORCE MAJEURE

MJRD Chem Pro Trade shall not be liable for delays caused by circumstances beyond its control, such as natural disasters, strikes, supply chain disruptions, or government restrictions. In such cases, we will notify the customer and work to resolve the issue promptly.

11. ARBITRATION

Any disputes shall be resolved through amicable negotiation. If unresolved, disputes will be settled through arbitration under UNCITRAL Arbitration Rules, with arbitration conducted at the Hong Kong International Arbitration Centre (HKIAC).

  • The appointing authority shall be HKIAC.

  • The arbitration shall be conducted in English.

12. INTELLECTUAL PROPERTY

The customer acknowledges that it does not acquire any rights to MJRD Chem Pro Trade’s trademarks, patents, trade secrets, or intellectual property by purchasing our products. Any unauthorized use, reproduction, or distribution is strictly prohibited.
